Biography

Ande Burchfield is a securities, real estate, and technology transactional attorney. She has significant experience counseling companies regarding blockchain technology (aka distributed ledger technology), cryptocurrency, and the security token market (aka real-world asset tokenization).

Ande has also served as FINRA and SEC counsel to public and private companies, including real estate investment trusts (REITs) and oil and gas exploration and production companies. She maintains SEC compliance for registered transfer agents, prepares securities offerings, and analyzes them for compliance with FINRA, NASAA and State Commissions.

As a real estate investor and syndication sponsor herself, Ande counsels real estate funds and syndications. Ande has personal experience developing and managing properties in a variety of asset classes, including self-storage, office, industrial, short-term rental, and multi and single-family residence.

Representative projects include:

  • Oklahoma Counsel to businesses and investors regarding commercial real estate leasing and purchasing;
  • Counsel to businesses regarding data center and colocation agreements;
  • Formation, regulatory maintenance, and counsel under SEC examination of SEC-registered transfer agents;
  • Advising clients’ offerings of securities, both public and private (including Rules 506(b) and 506(c), Section 4(a)(2), Regulation A, Regulation Crowdfunding, and Regulation S).
  • Advising technology companies and partnerships from formation to operation. Work includes negotiations with vendors and collaborators, consultation on smart contracts and commercial agreements, initial startup research and formation, and monitoring compliance and regulatory needs. Noteworthy representations include serving as general counsel for a partner in a Wyoming Special Depository Institution (“SPDI”) charter; negotiations with Alternative Trading Systems (“ATS”), KYC/AML providers, exchanges, and other stakeholders.
  • Advising technology developers to research regulation and co-develop compliance-compatible blockchain-based technology products.
  • Advising banks and financial institutions in the development of crypto-adjacent products and services while ensuring compliance with Know Your Customer (KYC) and Anti-Money Laundering (AML) regulations. Noteworthy representations include conducting due diligence on banking service clients heavily involved in cryptocurrency mining and trading.
  • Advising venture capital firms, family offices, and private equity groups to conduct due diligence on potential investments in the blockchain and DeFi space. Noteworthy representations include negotiating competitive rates on power purchase agreements for a large cryptocurrency mining operation.
  • Drafting bespoke risk factors for blockchain-based service providers on both public and private securities offerings.
